1. About VXN Coordination Network

VXN Imaging Coordination Network (“VXN,” “we,” “us,” or “our”) provides medical imaging referral coordination services for licensed medical providers, attorneys, and their authorized representatives (collectively, “Clients” or “you”). Our services facilitate the scheduling, coordination, and delivery of diagnostic imaging referrals between referring parties and participating imaging facilities.

VXN does not provide medical advice, diagnosis, treatment, or imaging services directly. We act solely as a coordination intermediary.

2. Eligibility and Authorized Use

Our services are intended exclusively for use by:

• Licensed medical providers and their authorized staff
• Licensed attorneys and their authorized legal staff
• Other professional entities expressly authorized by VXN

By using our services, you represent and warrant that you are authorized to submit referrals on behalf of patients or clients, and that you have obtained all necessary consents, authorizations, and releases required under applicable law — including but not limited to HIPAA authorizations where applicable.

3. Referral Submissions

Accuracy of Information

You are responsible for the accuracy and completeness of all information submitted through our secure referral form (hosted at hptz.io) or any other channel. VXN relies on the information provided and is not responsible for errors, delays, or outcomes resulting from inaccurate or incomplete submissions.

Patient Consent

You warrant that you have obtained valid patient consent and HIPAA authorization (where required) prior to submitting any protected health information (PHI) to VXN.

Scheduling and Coordination

While VXN strives to coordinate timely imaging appointments, we make no guarantees regarding specific scheduling windows, facility availability, or turnaround times. Availability depends on participating imaging providers and is subject to change.

4. HIPAA Compliance and Protected Health Information

VXN is committed to safeguarding PHI in accordance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the HITECH Act, and applicable state privacy laws.

Where VXN handles PHI on behalf of a covered entity, we will execute a Business Associate Agreement (BAA) with that entity prior to the transmission of PHI.

5. Fees and Payment

Fees for VXN services, where applicable, will be set forth in a separate service agreement or engagement letter. All fees are non-refundable unless otherwise expressly agreed in writing.

6. Acceptable Use

You agree not to:

• Submit fraudulent, misleading, or unauthorized referral requests
• Use our services for any unlawful purpose or in violation of applicable regulations
• Attempt to gain unauthorized access to our systems, servers, or data
• Reverse-engineer, copy, or replicate our coordination processes or proprietary materials
• Transmit malicious code, viruses, or disruptive content through our platforms

7. Intellectual Property

All content on this website — including the VXN name, logo, text, graphics, and coordination methodologies — is the property of VXN Imaging Coordination Network or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Third-Party Services

Our secure referral form is hosted by a third-party provider (hptz.io). VXN also relies on participating imaging facilities, transcription services, and other third-party providers to deliver coordinated services. We are not responsible for the independent acts, omissions, or policies of these third parties, though we select partners who meet our compliance standards.

9. Disclaimers

VXN services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

VXN does not diagnose, interpret, or render medical opinions on imaging results. All clinical decisions remain the sole responsibility of the referring provider or attending clinician.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VXN and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of our services, even if advised of the possibility of such damages.

Our aggregate liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you to VXN in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless VXN and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any inaccurate or unauthorized information you submit.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any reason — including suspected violation of these Terms or applicable law. Upon termination, provisions that by their nature should survive (including limitations of liability, indemnification, and intellectual property) will continue in effect.
